1. Introduction

Welcome to Strategy Growth Agency (“Agency,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website (strategygrowthagency.com) and our professional services, including high-performance WordPress design, development, optimization, and ongoing technical partnerships.

By accessing our website, submitting a project inquiry, or engaging our services, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

2. Services Provided

Strategy Growth Agency specializes in high-performance WordPress engineering for B2B brands, including but not limited to:

  • Custom Web Design and Development
  • Core Web Vitals and Speed Optimization
  • The Growth Package (12-month technical partnerships)
  • Free Performance Audits

The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate written Proposal or Statement of Work (“SOW”). The SOW, once accepted by the Client in writing or electronically, forms a binding agreement together with these Terms.

3. Performance Standards and Guarantees

We commit to specific, measurable performance standards for every engagement:

  • Largest Contentful Paint (LCP): under 1.5 seconds on mobile
  • PageSpeed Insights Score: 90 or higher on mobile and desktop
  • Core Web Vitals: “Passing” status in Google Search Console

These standards apply to pages within the scope of the engagement, as defined in the SOW.

Conditions for Guarantee

The performance guarantee is subject to the following conditions:

  • Hosting Environment: The website must remain on a managed WordPress hosting provider approved by the Agency. Migration to unsupported hosting environments voids the guarantee.
  • Client Modifications: The guarantee becomes void if the Client or any third party installs additional plugins, theme modifications, or uploads of unoptimized media (images, video) after the final handover without Agency review.
  • Scope of Pages: The guarantee applies only to the pages built or optimized within the engagement. New pages added post-launch are not covered unless re-engaged for optimization.
  • Measurement Standard: Performance is measured using Google PageSpeed Insights and Google Search Console at the time of project deployment and during the warranty period.

Performance Warranty Period

Each engagement includes a 30-day post-launch performance warranty. During this period, any performance regression caused by our work will be fixed at no additional cost. After 30 days, ongoing performance maintenance is available through The Growth Package retainer.

4. The Growth Package (12-Month Technical Partnership)

The Growth Package is a flat-rate, 12-month technical partnership priced at $2,500 USD per month, all-inclusive of the components specified in the current Growth Package SOW.

Minimum Term

The Growth Package requires a 12-month minimum commitment from the date of contract signing.

Early Termination

Either party may terminate the Growth Package with 30 days written notice. In the event of Client-initiated early termination before the 12-month period concludes:

  • The Client remains responsible for any unpaid monthly fees through the notice period.
  • The Custom Web Design build delivered as part of the Growth Package becomes fully owned by the Client upon final payment.
  • No retroactive invoicing applies for the Custom Web Design component.
  • Specific termination scenarios and refund eligibility are defined in the individual Growth Package SOW.

Agency-Initiated Termination

If the Agency determines, at its sole discretion, that the partnership is not delivering value to the Client (or vice versa), we reserve the right to release the Client from the remainder of the term, prorated, with 30 days notice.

5. Payment Terms

Invoicing Schedule

  • One-Time Projects (Custom Web Design, Speed Optimization): 50% deposit at SOW signing, 50% due upon project completion and approval.
  • The Growth Package: Monthly billing on the 1st of each month, beginning at contract signing.
  • Free Performance Audits: No charge. No payment information required.

Accepted Payment Methods

We accept payment in USD via:

  • Bank transfer (ACH, SWIFT)
  • Wire transfer
  • Credit card (via Stripe)
  • Wise Business

Late Payments

Invoices not paid within 14 days of the due date may result in:

  • Suspension of active services
  • Pause of hosting (with 7 days written notice)
  • A 1.5% monthly late fee applied to the outstanding balance

We reserve the right to refer overdue accounts to collections after 60 days of non-payment.

Refund Policy

  • Free Audits: No refund applicable (no charge applies).
  • One-Time Projects: Deposits are non-refundable once architectural work has commenced. If the Client cancels before development begins, 80% of the deposit is refundable.
  • The Growth Package: Monthly fees are non-refundable for the month in which they are paid. Future months may be canceled with 30 days written notice.

6. Intellectual Property

Client Ownership

Upon full and final payment of all invoices:

  • The Client receives a non-exclusive, non-transferable, worldwide license to use the developed website, custom designs, and associated assets.
  • The Client owns all original content provided (text, images, brand assets, etc.) submitted during the engagement.

Agency Retained Rights

Strategy Growth Agency retains the right to:

  • Showcase completed projects in its portfolio, case studies, and marketing materials (including but not limited to website features, social media, blog posts, and proposals).
  • Reuse generic code patterns, frameworks, and methodology developed during client projects.

Non-Disclosure Agreements

If the Client requires confidentiality regarding the engagement, a separate Non-Disclosure Agreement (NDA) must be signed prior to project commencement. Without an executed NDA, the Agency may publicly reference the engagement in case studies and portfolio materials.

7. Client Responsibilities

The Client agrees to:

  • Provide timely feedback within agreed-upon review periods (typically 3-5 business days).
  • Supply necessary brand assets, content, integrations access, and approvals as specified in the SOW.
  • Maintain timely payment of invoices.
  • Communicate any concerns or scope changes in writing.

Delays in Client deliverables (feedback, content, approvals) may directly extend project timelines and may result in revised delivery dates and additional fees if rework is required.

8. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including:

  • Business strategies, financial information, and customer data
  • Technical infrastructure details
  • Internal communications and project specifications

This confidentiality obligation survives the termination of the engagement.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Strategy Growth Agency shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities.
  • Our total aggregate liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by the Client to the Agency during the 6 months preceding the claim.
  • We are not liable for issues arising from:
  • – Third-party services (hosting providers, plugins, integrations)
  •  – WordPress core updates causing compatibility issues
  •  – Client-initiated changes after final handover
  •  – Force majeure events (see Section 10)

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to:

  • Acts of God, natural disasters
  • War, terrorism, civil unrest
  • Government actions or regulations
  • Internet outages or service provider failures
  • Pandemics or public health emergencies

The affected party shall provide written notice to the other party as soon as practicable.

11. Indemnification

The Client agrees to indemnify and hold harmless Strategy Growth Agency, its founder, employees, contractors, and partners from any claims, damages, or expenses arising from:

  • Content provided by the Client that infringes third-party rights
  • Misuse of the delivered website or assets
  • Breach of these Terms by the Client

12. Termination

Either party may terminate the engagement under these conditions:

  • For convenience: 30 days written notice (subject to Section 4 for Growth Package commitments)
  • For cause: Material breach of these Terms, with 14 days to cure after written notice
  • Immediate termination: In cases of fraud, illegal activity, or significant breach of confidentiality

Upon termination:

  • The Client receives all completed work up to the termination date
  • Outstanding invoices remain due
  • Both parties return or destroy confidential materials upon written request

13. Dispute Resolution

In the event of any dispute arising from these Terms:

  • Good Faith Negotiation: Both parties agree to first attempt resolution through direct, written communication for a minimum of 30 days.
  • Mediation: If unresolved, the parties may agree to non-binding mediation.
  • Arbitration: If mediation fails, disputes shall be resolved through binding arbitration under internationally recognized commercial arbitration rules.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, where Strategy Growth Agency is headquartered. For Clients based in the United States, any dispute may alternatively be resolved under the laws of the Client’s state, subject to mutual written agreement.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active Clients via email at least 30 days before taking effect. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
